Terms of Service
Please read these terms carefully before engaging with Brightex services.
1. Introduction
Welcome to Brightex ("we," "us," or "our"). We operate as a specialized sourcing and export office based in Shenzhen, China, dedicated to the procurement of ceramic ball bearings for overseas clients. By placing an order or engaging our services, you ("Client" or "Buyer") agree to be bound by these Terms of Service.
These terms govern the relationship between Brightex and the Client regarding product sourcing, quality control, logistics, and export facilitation.
2. Nature of Services
Brightex acts as an intermediary bridge between international buyers and Chinese manufacturers. We are not a factory; we are a sourcing agent and export office. Our services include:
- Identifying suitable manufacturers (OEMs or cost-effective plants) based on Client requirements.
- Translating technical specifications and negotiating pricing.
- Coordinating production schedules and performing quality control checks.
- Handling export documentation and logistics coordination.
3. Quotations & Orders
3.1 Validity: Price quotations provided by Brightex are valid for 15 days unless otherwise stated, due to potential fluctuations in raw material costs and exchange rates.
3.2 MOQs: Minimum Order Quantities (MOQ) vary depending on the specific product type and the manufacturer selected. We negotiate flexible MOQs where possible to support distributors and traders.
3.3 Confirmation: An order is considered confirmed only upon receipt of the deposit payment and signed Proforma Invoice (PI).
4. Payment Terms
Unless otherwise agreed in writing, our standard payment terms are:
- Deposit: 30% - 50% T/T (Telegraphic Transfer) in advance to initiate production.
- Balance: Remaining balance due before shipment or against the copy of the Bill of Lading (B/L), subject to negotiation based on order volume and client history.
- Currency: All payments shall be made in USD (United States Dollars) or CNY (Chinese Yuan) as specified in the invoice.
5. Production & Lead Times
Estimated lead times are provided for reference only. While we strive to ensure timely delivery by coordinating closely with factories, Brightex is not liable for delays caused by:
- Force majeure events (natural disasters, pandemics, government restrictions).
- Raw material shortages affecting the manufacturing supply chain.
- Delays in Client approval of samples or technical drawings.
6. Quality Control & Returns
6.1 Inspection: We perform pre-shipment inspections to ensure goods meet the agreed specifications. Clients are welcome to arrange third-party inspections (e.g., SGS, TUV) at their own expense prior to shipment.
6.2 Claims: Any claims regarding quality defects or quantity discrepancies must be submitted in writing within 30 days of cargo arrival. Claims must be supported by photos, videos, or independent test reports.
6.3 Resolution: If products are proven defective due to manufacturing faults, Brightex will coordinate with the factory to provide replacements or a refund for the defective portion. We are not liable for damage caused by improper installation, misuse, or shipping accidents (unless CIF terms apply).
7. Intellectual Property (OEM)
For OEM orders where the Client requests specific branding, packaging, or custom designs, the Client warrants that they hold the necessary intellectual property rights. The Client agrees to indemnify Brightex against any third-party claims regarding trademark or patent infringement related to the production of such custom goods.
8. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be settled through friendly negotiation. If negotiation fails, the dispute shall be submitted to the competent court in Shenzhen, China.
